1. Definitions
In these Terms and Conditions, the following definitions apply:
- Subscription: An agreement under which Chapter commits to providing Services to the User, whether or not in exchange for a fee.
- Account: The User's access rights to Content and/or the Communication System on the App or Website.
- Terms and Conditions: The provisions outlined in this document.
- App: The mobile application facilitating the Services.
- Chapter: Chapter Holding B.V., a private limited company based in Amsterdam, the Netherlands, registered with the Chamber of Commerce under number 8447773, and its Subsidiaries.
- Communication System: Online communication infrastructure related to the App and Website, such as web-based email, message boards, virtual reality, live chat, video facilities, and email links.
- Content: Text, images, audio, video, software, virtual reality, data compilations, and any other information stored on a data carrier in relation to the App and Website.
- Third-Party Services: As defined in Section 10.1 of these Terms and Conditions.
- Services: The platform made available through the App, which may include a career scan, personality test, aptitude test, skills guide, personal labor market gap analysis, potential coaching programs, e-learning, offline learning, digital workflows, a community, and/or job matching.
- Subsidiary: As defined in Article 2:24a of the Dutch Civil Code.
- User: Any natural or legal person with whom Chapter has entered into a Subscription, granting access to the Website and/or App.
- IP Rights: All intellectual property rights and related rights, including copyrights, trademarks, trade names, database rights, neighboring rights, know-how, and single-performance rights.
- Website: Chapter’s website, accessible via https://www.chapter.works.
2. Applicability and Amendments
2.1 These Terms and Conditions apply to all Subscriptions and legal actions arising from them.
2.2 Chapter may update these Terms and Conditions at any time and will post the updated version on the Website.
2.3 Chapter will notify the User of such updates via the Communication System, the Website, or otherwise in writing, and will highlight the changes during App or Website use.
2.4 If any provision of these Terms and Conditions is deemed invalid or unenforceable under law, regulation, or court ruling, only that provision will be excluded, while the remaining provisions remain valid.
3. Subscription
3.1 A Subscription is established once the User completes the registration form via the App or Website and agrees to these Terms and Conditions.
3.2 Users must be at least 18 years old to enter into a Subscription.
3.3 The Subscription is personal and non-transferable. However, a corporate User may provide its personnel or subcontractors with access to an Account and Services as outlined in Section 3.4.
3.4 Chapter will provide the User with an Account, accessible via a password and email address. Corporate Users will receive multiple individual Accounts for designated personnel, depending on the Subscription type.
4. Fees
4.1 Subscriptions may be offered free of charge (for individual Users) or at a fee, with prices excluding VAT as listed on the Website, depending on the package or Subscription type.
4.2 Chapter will maintain the annual Subscription fee for 12 months without mid-term changes. After this period, Chapter may adjust the price annually.
4.3 In the case of a free Subscription, Chapter reserves the right to introduce a fee after three months, subject to Section 13 (Termination). The User will be notified of price changes at least 30 days in advance via the Communication System, the App, the Website, or in writing.
5. Payment
5.1 Payment for the Subscription (either one-time or in installments) is made per the options provided on the Website (e.g., via iDEAL or credit card). The User consents to the frequency and method of payment when completing the registration form.
5.2 In the event of late payment, such as due to insufficient funds or a failed transfer, the User will receive a reminder and an opportunity to pay the outstanding amount.
5.3 Access to the Services may be blocked until payment obligations are met (without valid justification).
5.4 If the User fails to respond to a notice of default regarding overdue payments, Chapter reserves the right to terminate the Subscription, without nullifying the payment obligation. Sections 13.3 and 13.4 apply.
6. Obligations and Warranties of Chapter
6.1 After the Subscription is established, Chapter will make all reasonable efforts to provide the Services with due care and professionalism.
6.2 Chapter does not guarantee that the User’s use of the Services (or that of their personnel or subcontractors, in the case of a corporate User) will result in specific outcomes, such as obtaining a recognized diploma, permanent employment, contracts, or any other form of work. Additionally, no guarantee is provided regarding the timeframe for achieving results.
6.3 Chapter commits to providing the necessary infrastructure and technical means to deliver a high-quality, largely uninterrupted service to the User. Chapter is not responsible for malfunctions in the User’s device or compatibility issues between the App and the device.
6.4 The User accepts that the App is provided "as is" and includes only the Content and Communication System available at the time of use. Chapter is under no obligation to add specific Content or systems at the User’s request.
6.5 Chapter may temporarily suspend parts of the App, Website, Content, or Communication System for necessary (technical) maintenance. Chapter will aim to conduct such maintenance outside normal working hours whenever possible.
6.6 Chapter does not guarantee uninterrupted access to the App, Website, or Services. Chapter is not liable for damages resulting from the temporary unavailability or interruption of these services.
7. Obligations and Warranties of the User
7.1 The User guarantees that they will not use the Services for purposes other than those described in these Terms and Conditions.
7.2 Specifically, the User guarantees not to disseminate or exchange any offensive, sexually explicit, illegal, dangerous, violent, harassing, disrespectful, defamatory, or threatening content through the Services, including the Communication System.
7.3 In the event of a material breach of Sections 7.1 and 7.2, Chapter reserves the right to terminate the Subscription immediately, as outlined in Sections 13.3 and 13.4.
7.4 All actions conducted via the Account are the responsibility and liability of the User. If the User suspects or reasonably should suspect misuse of their Account, they must notify Chapter immediately so that appropriate measures can be taken.
7.5 Without prejudice to Section 6.2, the User (as an individual) acknowledges that Chapter may recommend them as a candidate for a specific role at a third-party organization that compensates Chapter. In such cases, the User agrees not to approach the organization directly concerning the role.
7.6 Corporate Users must ensure that their personnel or subcontractors with access to the Services are aware of and comply with the obligations and warranties set out in Sections 7.1 and 7.2.
8. Liability
8.1 If Chapter fails to perform the Services properly, and the User suffers damages as a result, Chapter’s liability is limited to direct damages. Liability for indirect damages, such as consequential damages, delays, lost profits, or missed revenue, is excluded.
8.2 Chapter’s liability extends to its employees and any third parties engaged by Chapter to deliver the Services.
8.3 Chapter is not liable for damages of any kind caused by reliance on incorrect or incomplete information provided by the User.
8.4 Chapter is not liable for any damages incurred by the User (as an individual) during the introductory phase with a third-party organization as outlined in Section 7.5.
9. Intellectual Property
9.1 The IP Rights related to the Services, App, Content, and Communication System belong to Chapter and/or its licensors. These Terms and Conditions do not transfer any IP Rights to the User.
9.2 For the duration of the Subscription, Chapter grants the User a limited, personal, revocable, non-exclusive, non-sublicensable, and non-transferable right to access and use the Services, including the App, Content, and Communication System. For corporate Users, the same rights apply to designated personnel, as outlined in Section 3.4.
9.3 The User will not take any actions that infringe on Chapter’s IP Rights.
9.4 Any information, materials, or documents provided by the User to Chapter in connection with the Services remain the User's property. Chapter receives a free, worldwide, perpetual, irrevocable, non-cancellable, unlimited, sublicensable, and transferable license to use and modify such materials as part of the Services.
10. Third-Party Services
10.1 The App or Website may utilize third-party services, whether via links or otherwise ("Third-Party Services").
10.2 Unless explicitly stated, these Third-Party Services are not under Chapter’s control, and Chapter is not responsible for their content or any resulting damages.
11. Confidentiality
11.1 Information provided by the User will be treated confidentially by Chapter, its employees, and any third parties working on its behalf.
11.2 Chapter will take measures to minimize the risk of fraudulent access to the Account (including Content and the Communication System) but does not guarantee absolute security.
11.3 Chapter processes personal data in accordance with the General Data Protection Regulation (GDPR). Refer to Chapter’s Privacy Policy on the Website for more information.
12. Contact
12.1 The User may contact Chapter’s customer service on business days between 8:30 AM and 5:30 PM via info@chapter.works or by calling +31 20 8280123.
13. Termination
13.1 Individual Users may cancel their Subscription free of charge and without stating reasons within 14 calendar days of its establishment, via the App or Website.
13.2 Subscriptions for individual Users may be for a fixed or indefinite period, as specified on the Website.
13.3 Subscriptions for corporate Users are for an indefinite period.
13.4 Fixed-term Subscriptions automatically expire on the end date unless the individual User opts to convert them to an indefinite Subscription at least one month before expiration.
13.5 Indefinite Subscriptions for individual Users can be canceled monthly via the App or Website with a one-month notice period. For corporate Users, termination may occur monthly or annually, depending on the Subscription type, with the same notice period.
13.6 Chapter will confirm the termination of any Subscription.
13.7 Upon termination, access to the Services, App, and Website will be revoked, and the Account, including messages in the Communication System, will be deleted. Payments already made will not be refunded unless agreed otherwise.
14. Governing Law and Jurisdiction
14.1 These Terms and Conditions, as well as all related rights, obligations, offers, and Subscriptions, are governed exclusively by Dutch law.
14.2 Disputes between the User and Chapter will be submitted to the competent court in Amsterdam.
